These Terms and Conditions apply to your use of the Lyoley website and to your purchase of products and services from Lyoley.

By using our website or placing an order, you agree to these Terms and Conditions. This is subject to any rights you have under the Australian Consumer Law that cannot legally be excluded or limited.

1. About these Terms

In these Terms and Conditions, "Lyoley", "we", "us" and "our" mean:

"You" and "your" mean the person or entity purchasing products or services from us, or using our website.

2. Products and services

Lyoley supplies LYOFRAME, LYOSET and related modular products, accessories, custom configurations and services.

All Lyoley products are made to order. We do not hold finished stock. Each order is manufactured to the configuration, measurements and artwork confirmed with you during a consultation before production begins.

Product descriptions, images, dimensions, specifications, colours and configurations are provided as accurately as reasonably possible. Minor variations may occur because of manufacturing processes, materials, screen settings, photography or similar factors.

3. Consultation, orders and acceptance

When you place an order, you are making an offer to purchase the relevant products on these Terms and Conditions. An order is not accepted until Lyoley confirms it or otherwise accepts it.

Because every product is made to order, we conduct a consultation before production begins. During that consultation we confirm:

  • product configuration
  • measurements and site requirements
  • artwork
  • delivery details and access requirements
  • production requirements
  • pricing and applicable delivery charges.

Production does not commence until you have approved these details. If the information you supply is incomplete or inaccurate, production or delivery timeframes may be affected.

4. Pricing and payment

Prices displayed or quoted by Lyoley are subject to the taxes, delivery charges and other charges stated at the time of purchase or quotation.

For Australian customers, GST and local delivery charges may be added once the final delivery address and delivery requirements are confirmed, where those charges were not already included in the quoted price.

Payment must be made using a payment method we make available. We may use third party payment providers to process transactions, and we do not generally hold complete payment card details ourselves.

5. Artwork and customer supplied materials

Where you provide artwork, logos, images, designs or other materials for production, you are responsible for ensuring that:

  • you have the necessary rights and permissions to use the material
  • the material does not infringe another person's intellectual property rights
  • the material is suitable for the intended production method
  • the information you supply to us is accurate.

You grant Lyoley permission to use your supplied materials solely to provide the products or services you have requested.

We may request replacement artwork or clarification where supplied material is unsuitable for production.

Once you approve artwork for production, that approval is final. We are not responsible for errors contained in artwork you have approved.

6. Order processing

Orders are generally processed within 1 to 5 business days, Monday to Friday, after we receive your order and any information required from you.

During this period we verify order details, complete the consultation, confirm artwork and prepare your LYOFRAME or LYOSET components for production.

Production does not commence until all required information, artwork approvals and payments have been received.

7. Production and delivery

Once your order and artwork have been approved, production, freight to Australia and delivery are currently estimated at approximately 45 days.

This estimate is in calendar days, not business days, and runs from the date we confirm your approved order and artwork.

Timeframes may vary because of:

  • manufacturing delays
  • freight congestion
  • port delays
  • customs processing
  • severe weather
  • carrier delays
  • public holidays
  • circumstances outside our reasonable control.

We will provide reasonable updates where a delay materially affects your order. An estimated timeframe is not a guarantee of delivery by a particular date unless expressly agreed in writing.

8. International orders

Lyoley may ship internationally. International delivery times vary according to destination, customs procedures, freight arrangements and local delivery services.

International customers are responsible for customs duties, import taxes, clearance fees and other charges imposed by the destination country, unless the applicable quotation expressly states otherwise.

Where international shipping charges are included in a quotation, this does not necessarily include destination country taxes, duties or government charges unless expressly stated.

9. Delivery information and access

You are responsible for providing accurate delivery information, including:

  • delivery address
  • contact details
  • access instructions
  • relevant site restrictions
  • any other information reasonably necessary for delivery.

Where delivery is unsuccessful because the information you supplied was incorrect or inadequate, reasonable additional delivery or return to sender charges may apply. This does not affect any rights you have under the Australian Consumer Law.

10. Made to order products

Every Lyoley product is manufactured specifically for your order, to the configuration and artwork you approve during the consultation. We do not hold stock, and a product manufactured to your specification cannot be resold to another customer.

This is the basis on which our returns position in section 11 applies.

11. Change of mind

Lyoley does not offer refunds, returns or exchanges for change of mind. This includes where you:

  • change your mind after approving your order or artwork
  • approve the wrong configuration, size or quantity
  • find a similar product elsewhere
  • no longer need the product
  • are unable to install or use the product for reasons within your control.

This position applies because every product is made to order following a consultation that you approve before production begins.

This does not exclude, restrict or replace any right or remedy you have under the Australian Consumer Law. See sections 12 and 14.

12. Faulty products and consumer guarantees

You are entitled to a remedy where a product is faulty or defective, is not of acceptable quality, does not match its description or sample, is not fit for a disclosed purpose, or otherwise fails to comply with a consumer guarantee under the Australian Consumer Law.

Where that occurs, contact us and we will assess the issue and provide an appropriate remedy. Depending on the circumstances and the applicable legal requirements, that may include repair, replacement components, replacement of the product or a refund.

The fact that a product was made to order does not affect your consumer guarantee rights.

13. Damaged or missing components

If your order arrives damaged or with missing components, please contact us as soon as reasonably possible. To help us investigate, we may ask you for:

  • your order number
  • photographs of the packaging
  • photographs of the damaged or missing components
  • photographs showing the condition of the delivery on arrival
  • your contact details.

We will assess the issue and provide an appropriate remedy in accordance with these Terms and Conditions and the Australian Consumer Law.

14. Australian Consumer Law

Nothing in these Terms and Conditions excludes, restricts or modifies any consumer guarantee, right or remedy that cannot legally be excluded, restricted or modified under the Australian Consumer Law.

Mandatory consumer guarantee notice

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:

  • to cancel your service contract with us; and
  • to a refund for the unused portion, or to compensation for its reduced value.

You are also entitled to choose a refund or replacement for major failures with goods.

If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion.

You are also entitled to be compensated for any other reasonably foreseeable loss or damage resulting from a failure to comply with a consumer guarantee.

The consumer guarantees under the Australian Consumer Law operate independently of any policy or warranty offered by Lyoley.

15. Refunds

Refunds are provided where required under the Australian Consumer Law, or where we have otherwise agreed in writing.

Where a refund is approved, it will generally be processed using the original payment method. The time taken for funds to appear in your account may depend on your payment provider or financial institution.

16. Customer misuse or alteration

Consumer guarantee rights may not apply to a problem caused by misuse, incorrect installation, unauthorised alteration, failure to follow reasonable instructions, or other damage caused by the customer.

Nothing in this section limits rights that cannot legally be excluded under the Australian Consumer Law.

17. Consultations and project assistance

Where Lyoley provides consultations, project planning, artwork guidance or other services, the scope of those services will depend on the applicable quotation or agreement. Any advice or recommendation we provide is based on the information available to us at the time.

You remain responsible for providing accurate information about your project, site, measurements, access requirements and intended use. Where specialist engineering, structural, building, electrical or other regulated professional advice is required, you should obtain that advice from an appropriately qualified professional.

18. Wholesale and trade orders

Lyoley may offer wholesale, trade and business to business arrangements to retailers, builders, designers and other commercial customers. These orders may be subject to separate quotations, payment terms, minimum order quantities, delivery arrangements or written agreements.

Where a separate written agreement applies, that agreement governs to the extent of any inconsistency with these website Terms and Conditions. Nothing in these Terms and Conditions is intended to exclude or restrict rights available to eligible small businesses under applicable Australian law.

19. Website use

You must not use the Lyoley website:

  • for an unlawful purpose
  • to interfere with the operation or security of the website
  • to gain unauthorised access to systems or information
  • to transmit malicious code
  • to infringe another person's rights
  • in a manner that could damage Lyoley or its customers.

We may suspend or restrict access to the website where reasonably necessary for security, maintenance or legal reasons.

20. Intellectual property

Unless otherwise stated, content on the Lyoley website, including text, graphics, photographs, logos, product designs, branding and other materials, is owned by or licensed to Lyoley.

You must not reproduce, modify, distribute or commercially exploit our intellectual property without our prior written permission, except where permitted by law.

21. Third party services

Our website and services may rely on third party providers, including payment processors, freight providers, technology providers and other service providers. Those providers may have their own terms and privacy policies.

Lyoley remains responsible for its obligations under applicable Australian law, but is not responsible for matters outside our reasonable control arising from a third party provider.

22. Events outside our reasonable control

We will not be responsible for delays caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, industrial action, war, government restrictions, port closures, customs delays, major freight disruptions, infrastructure failures or other events outside our reasonable control.

This does not exclude or limit any rights or remedies that cannot legally be excluded under the Australian Consumer Law.

23. Changes to these Terms

We may update these Terms and Conditions from time to time. The version published on our website at the time you place an order will generally apply to that order, subject to any separate written agreement and any mandatory rights under applicable law.

24. Governing law

These Terms and Conditions are governed by the laws of Australia and the laws of the State or Territory in which Lyoley's principal place of business is located. The parties submit to the courts and tribunals having jurisdiction in that State or Territory, subject to any mandatory rights available under Australian law.
